ACCEPTANCE

Welcome to the Simply Great Staffing, LLC websites and the Simply Great Staffing, LLC mobile application, along with any associated materials and services available therein. These collectively constitute the “Site” and are operated by Simply Great Staffing, LLC (“we” or “us”).

These Terms of Use (“Terms”) outline the terms and conditions governing your use of and access to the Site. By accessing or using the Site, you acknowledge that you have read and understood these Terms and agree to be bound by them. If you do not accept these Terms, please refrain from using or accessing the Site.

Additionally, our Privacy Policy describes how we collect and disclose information from all users and viewers through the Site.

Please review these Terms and the Privacy Policy carefully. Your continued use of the Site signifies your acceptance and consent to be bound by these Terms and the Privacy Policy.

We may update these Terms and the Privacy Policy from time to time. Any changes will be communicated to you through reasonable means, such as posting revised Terms or Policy on the Site. Changes will not apply to any disputes arising before the effective date of the revised Terms or Policy.

In case of any conflict between these Terms and the Privacy Policy and any other fully executed agreement between you and Simply Great Staffing, LLC (“Other Terms”), the Other Terms shall prevail.

The “Last Updated” date above indicates when these Terms were last changed. We reserve the right to modify or discontinue parts of the Site (including third-party links) without liability. Your continued use of the Site after such changes constitutes acceptance of the revised Terms.

Please note that Simply Great Staffing, LLC is not a law firm and does not provide legal representation. Our project attorneys do not constitute a law firm among themselves.

ELIGIBILITY

By using the Sites, you affirm that you are of legal age to enter into these Terms. If you are an individual accessing or using the Sites on behalf of, or for the benefit of, any corporation, partnership, or other entity with which you are associated (an “Organization”), you agree to these Terms on behalf of yourself and the Organization. You also represent and warrant that you have the legal authority to bind the Organization to these Terms. References to “you” and “your” in these Terms apply to both the individual user and any associated Organization.

The Sites are intended for use by residents of the United States only. They are controlled and operated from the United States and are not intended to subject Simply Great Staffing, LLC to any non-U.S. jurisdiction or law. While the Sites may not be appropriate or available for use in certain non-U.S. jurisdictions, any use of the Sites is at your own risk. You must comply with all applicable laws, rules, and regulations when using the Sites. We reserve the right to limit the availability of the Sites, in whole or in part, to specific persons, geographic areas, or jurisdictions as we deem necessary.

LICENSE

Subject to and conditioned on your compliance with these Terms, Simply Great Staffing, LLC grants you a limited, non-exclusive, non-transferable, non-assignable, revocable license to access and use the Sites. Additionally, you may download copies of the materials made available for download on the Sites. This license is granted solely for your personal and non-commercial use or for the purpose of doing business with Simply Great Staffing, LLC.

The Sites, including all content, information, and materials incorporated into or made available through them, are the exclusive property of Simply Great Staffing, LLC or its suppliers. They are protected by U.S. and international law. You agree not to access or use the Sites, or any content, information, or materials incorporated into or made available through the Sites, except as expressly permitted under these Terms.

Furthermore, all trademarks, service marks, and logos displayed on the Sites (the “Marks”) are the exclusive property of Simply Great Staffing, LLC or their respective third-party owners. While you have the right to view Marks on our Site, you are not granted any additional rights to use the Marks. Nothing in the Sites grants, by implication, estoppel, or otherwise, any license or right to use any Marks displayed on the Sites.

USER-SUBMITTED MATERIALS

The Sites may include functionality that allows you to upload your résumé, other employment and career-related information, job orders, and other information related to your Organization. Additionally, you can submit comments, materials, or contact information (including your name, email address, and phone number), or engage in other messaging functionality through interactive features such as blogs and message boards. All these résumés, information, comments, and materials are collectively referred to as “Submitted Materials.” You retain ownership of your Submitted Materials.

By choosing to submit Submitted Materials, you grant Simply Great Staffing, LLC a worldwide, royalty-free, fully paid-up, non-exclusive, perpetual, irrevocable, transferable, and fully sublicensable license (through multiple tiers). This license allows us to reproduce, distribute, perform, display (publicly or otherwise), create derivative works of, adapt, modify, and otherwise use and exploit your Submitted Materials in any format or media now known or developed in the future. This usage includes promotional purposes, such as testimonials.

When submitting Submitted Materials, you represent and warrant that you have all necessary rights to grant the licenses described above. Furthermore, you affirm that your Submitted Materials, when provided through and in connection with the Sites, are complete, accurate, and not fraudulent, tortious, or in violation of any applicable law or third-party rights (including intellectual property rights). For each Submitted Material, you also irrevocably waive any “moral rights” or other rights related to attribution of authorship or integrity under any applicable law or legal theory. It is your responsibility to ensure that the Submitted Materials are true, accurate, current, and complete.

Simply Great Staffing, LLC reserves the right (but has no obligation) to screen, monitor, evaluate, and remove any Submitted Materials at any time and for any reason. Additionally, we may analyze your access to and use of the Sites and disclose relevant information to anyone for any purpose.

User Responsibilities

As a user of Simply Great Staffing, LLC’s services and platforms, you have certain responsibilities to ensure a positive experience and maintain the integrity of the system:

  1. Accurate Information: When submitting materials (such as résumés, employment information, or comments), ensure that the information is complete, accurate, and not fraudulent. Represent your Organization truthfully and transparently.

  2. Compliance with Laws: Use the Sites in accordance with all applicable laws, rules, and regulations. The Sites are intended for use by U.S. residents, and you must comply with local and federal laws.

  3. Respect for Intellectual Property: Respect intellectual property rights. Do not use any trademarks, service marks, or logos displayed on the Sites without proper authorization.

  4. Monitoring and Removal: Understand that Simply Great Staffing, LLC may screen, monitor, evaluate, and remove any submitted materials at its discretion. Submitted materials should align with the Sites’ purpose and guidelines.

  5. Privacy and Security: Protect your personal information and follow privacy best practices. Be cautious when sharing contact details or engaging in messaging functionality.

Data Protection and Privacy

At Simply Great Staffing, LLC, we take data protection seriously. Here are some key points regarding your privacy and personal information:

  1. User-Submitted Materials: When you submit résumés, employment information, or other materials, rest assured that we respect your ownership of these materials. However, be cautious about sharing sensitive personal information.

  2. Legitimate Requests: We will never ask you to pay upfront fees for a job or equipment. If you receive requests for payment via cash, Zelle, or PayPal, it’s likely a scam. Legitimate employers won’t operate this way.

  3. Verification: Always verify job offers directly with the company. Use legitimate phone numbers or visit the company’s official website to confirm the job’s authenticity.

  4. Privacy Best Practices: Protect your personal data. Avoid sharing sensitive information until you’ve done your research and confirmed the legitimacy of the opportunity.

Confidentiality and Data Security

At Simply Great Staffing, LLC, safeguarding sensitive information is paramount. Here are the key principles regarding confidentiality and data security:

  1. Data Classification: Clearly define data types (e.g., public, internal, confidential) and their handling procedures. Ensure that confidential data is accessible only to authorized personnel.

  2. Access Controls: Implement robust access controls. Limit data access based on job roles and responsibilities. Regularly review and update access permissions.

  3. Encryption: Encrypt sensitive data during transmission and storage. Use strong encryption protocols to prevent unauthorized interception.

  5. Employee Training: Educate Field Employees on data security practices. Regular training sessions help raise awareness and reinforce best practices.

  6. Physical Security: Protect physical assets (servers, devices, documents). Restrict access to data centers and secure storage areas.

User Conduct

At Simply Great Staffing, LLC, we expect all Field Employees to adhere to a high standard of conduct. Here are the key principles:

  1. Professional Behavior: Field Employees should maintain professionalism in all interactions. Treat colleagues, supervisors, and clients with respect and courtesy.

  2. Non-Discrimination and Harassment: We have a zero-tolerance policy for discriminatory behavior, harassment, or victimization. Everyone deserves a safe and inclusive workplace.

  3. Ethical Conduct: Field Employees must comply with all laws and regulations. Be ethical and responsible when dealing with company finances, products, partnerships, and public image.

  4. Property Respect: Treat company property (both tangible and intangible) with care. Avoid misuse of equipment and respect intellectual property rights.

  5. Collaboration and Communication: Foster a collaborative environment. Avoid serious disputes and disruptions. Encourage open communication and teamwork.

FEEDBACK

We appreciate your engagement with Simply Great Staffing, LLC. However, we do not accept unsolicited ideas, proposals, suggestions, or other materials (“Feedback”) related to the Sites or any other aspect of our operations. This includes Feedback about new or improved products, technologies, or potential security vulnerabilities.

Please refrain from submitting any Feedback to us. If you do choose to submit Feedback, you acknowledge and agree to the following:

  1. No Obligation: Simply Great Staffing is not obligated to review, acknowledge, or compensate you for any Feedback.

  2. Intellectual Property: Any Feedback automatically becomes our intellectual property without compensation to you. We may use or distribute the Feedback freely for any purpose.

  3. No Fiduciary Obligation: Simply Great Staffing has no fiduciary or other obligation to you or any other person regarding Feedback.

  4. Non-Confidentiality: Feedback shall be considered non-confidential.

  5. Security Violations: We reserve the right to pursue civil and criminal action against any violations of these Terms, including investigating potential security vulnerabilities of the Sites.

RULES OF CONDUCT

In connection with the Sites, you agree NOT to:

  1. Inappropriate Content: Post, transmit, or otherwise make available any Submitted Materials or Feedback that are threatening, harassing, degrading, hateful, defamatory, fraudulent, obscene, indecent, or otherwise objectionable. Respect the rights and dignity of others.

  2. Malicious Software: Introduce malicious or harmful software (such as Viruses) that damages hardware, software, or equipment, including Third-Party Materials. Unauthorized access to confidential information or personal data is strictly prohibited.

  3. Unauthorized Commercial Use: Avoid using the Sites for unauthorized commercial purposes, including competing with Simply Great Staffing, LLC. Fraudulent or unlawful activities are not allowed.

  4. Information Harvesting: Do not harvest or collect information about other users of the Sites.

  5. Disruption and Interference: Refrain from interfering with the operation of the Sites, servers, or networks. Hacking, defacing, or violating server/network policies is prohibited.

  6. Restriction of Usage: Do not restrict or inhibit other users from accessing and using the Sites.

  7. Unauthorized Exploitation: Avoid reproducing, modifying, selling, licensing, or exploiting any portion of the Sites without express authorization.

  8. Reverse Engineering: Do not reverse engineer, decompile, or disassemble any part of the Sites (unless expressly allowed by applicable law).

  9. Rights Notices: Retain copyright, trademark, and other proprietary rights notices on the Sites.

  10. Search Engine Permissions: While public search engines may index materials for creating searchable indices, explicit consent is required. Simply Great Staffing reserves the right to revoke such permission.

THIRD-PARTY MATERIALS

The Sites may offer access to third-party websites, content, services, or information (“Third-Party Materials”). Please note the following:

  1. No Control: Simply Great Staffing does not control Third-Party Materials. We are not responsible for their content or availability.

  2. No Endorsement: The presence of links to Third-Party Materials on our Sites does not imply endorsement or affiliation with the providers of those materials.

  3. Use at Your Own Risk: Your use of Third-Party Materials is at your discretion and risk.

INDEMNIFICATION

By using the Sites, you agree to indemnify, defend, and hold harmless Simply Great Staffing, LLC and its affiliates, officers, directors, agents, and Field Employees. This includes any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including attorneys’ fees) arising from your access to or use of the Sites (including any Submitted Materials) or any alleged violation of these Terms or the Privacy Policy.

Please note the following:

  1. Settlement Restrictions: You may not settle a claim involving anything other than a monetary settlement without Simply Great Staffing, LLC’s prior written consent.

  2. Survival of Indemnity Obligation: This indemnity obligation remains in effect even after the termination of these Terms.

DISCLAIMER

The Sites are provided on an “as is” and “as available” basis, without any representations, warranties, or conditions of any kind. Simply Great Staffing, LLC expressly disclaims all warranties and conditions, whether express, implied, or statutory, to the fullest extent permissible under applicable law. These include warranties and conditions of merchantability, fitness for a particular purpose, non-infringement, and title, as well as warranties arising from course of performance, course of dealing, usage, or trade.

While we strive to maintain the timeliness, integrity, and security of the Sites, we cannot guarantee that they will remain updated, complete, correct, or secure. Additionally, uninterrupted access to the Sites is not guaranteed. We are not responsible for inaccuracies, errors, or materials on the Sites. Unauthorized alterations made by third parties are beyond our control.

Please acknowledge the following:

  • The Sites may be affected by circumstances beyond our control.

  • Continuous, uninterrupted, or secure access to the Sites is not guaranteed.

  • Limitations, delays, and other issues inherent in internet and electronic communications may impact the Sites.

  • Security measures may not fully protect against unauthorized access, use, or disclosure.

  • Unauthorized access, alteration, theft, or destruction of data on the Sites may occur.

LIMITATION OF LIABILITY

By using the Sites, you agree that Simply Great Staffing, LLC and its affiliates, including their respective Field Employees, officers, agents, and directors, will not be liable for:

  1. Indirect Damages: Any indirect, incidental, consequential, special, exemplary, aggravated, or punitive damages of any kind, whether under contract, tort (including negligence), strict liability, or other theory. This includes damages for loss of profits, loss of data, or other intangibles.

  2. Security of Submitted Materials: Loss of security of Submitted Materials, including unauthorized interception, access, or alteration by third parties.

  3. Third-Party Materials: Damages resulting from your use of or inability to use the Sites or any third-party materials. This includes any malware, viruses, worms, hacks, or malicious software transmitted in connection with the Sites.

  4. Exclusive Remedy: Your sole and exclusive remedy for dissatisfaction with the Sites is to stop using them.

  5. Maximum Aggregate Liability: The maximum aggregate liability of Simply Great Staffing, LLC for all damages, losses, and causes of action (whether in contract, tort, strict liability, or otherwise) will be $100.

Please note that applicable law may grant you additional rights beyond these limitations.

TERMINATION

Simply Great Staffing, LLC reserves the right to terminate or suspend your access to the Sites at any time, with or without cause or notice. This may occur if we believe you have violated or acted inconsistently with the terms outlined in these Terms.

Upon termination or suspension:

  1. Your right to access and use the Sites will immediately cease.

  2. We may deactivate or delete your username, password, and account.

  3. We are not obligated to maintain or provide access to any materials associated with your account (including Submitted Materials or Feedback). We may retain or delete such materials at our discretion.

  4. The remaining provisions of these Terms will continue to be in effect, except for the license granted for accessing and using the Sites.

GOVERNING LAW; JURISDICTION

These Terms are governed by and will be construed in accordance with the laws of:

  • The state where you use or access the Sites.

  • If a dispute arises related to (i) your consideration for placement on a job, (ii) your placement on a job, or (iii) your job order, the state in which the job opportunity is located.

GENERAL

These Terms do not create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and Simply Great Staffing, LLC. If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be deemed severable, and the remaining provisions will remain valid.

Key points:

  1. Assignment: You may not assign, transfer, or sublicense your rights or obligations under these Terms without our express written consent. We, however, may do so without restriction.

  2. Waiver: No waiver of breach or default under these Terms will affect other breaches or defaults.

  3. Headings and Captions: Headings and section titles are for convenience and do not define or explain any provision.

  4. Singular and Plural: Terms defined in the singular apply equally in the plural.

  5. Incorporated Terms: These Terms, along with any incorporated conditions, constitute the entire agreement between you and Simply Great Staffing, LLC.
